Terms of Service

1. Acceptance of Terms

By accessing or using the PriviSync platform at privisync.com (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. If you do not accept these Terms, do not use the Platform.

2. Description of Service

PriviSync provides an enterprise privacy risk scoring and assessment platform that enables organisations to evaluate, quantify, and report on privacy risk across multiple intake channels including Privacy Impact Assessments (PIAs), Data Protection Impact Assessments (DPIAs), vendor reviews, data transfer assessments, and incident management workflows.

Access to the Platform is provided on an invitation or request-and-approval basis. PriviSync reserves the right to decline access at its sole discretion.

3. Authorised Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform in any way that violates applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Platform
• Introduce malicious code, viruses, or disruptive data
• Use the Platform to process data beyond the scope of your agreed use case
• Reverse engineer or attempt to extract the source code of the Platform
• Resell, sublicense, or transfer access to the Platform without written consent

4. Intellectual Property

All rights, title, and interest in and to the Platform, including the scoring methodology, algorithms, user interface, and associated documentation, remain the exclusive property of PriviSync. Nothing in these Terms transfers any intellectual property rights to you.

Your organisation retains ownership of all data you submit to the Platform (“Customer Data”). You grant PriviSync a limited licence to process Customer Data solely to provide the Platform services.

5. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. For enterprise deployments involving personal data processing, a Data Processing Agreement (DPA) may be required. Please contact contact@privisync.com to request a DPA.

6. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Platform that is designated as confidential or that reasonably should be understood to be confidential. This obligation survives termination of these Terms for a period of three (3) years.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PRIVISYNC DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED.

The risk scores and outputs generated by the Platform are informational tools to support risk governance decision-making. They do not constitute legal advice, regulatory compliance certification, or a guarantee of any specific outcome.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIVISYNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF PRIVISYNC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall PriviSync's total liability exceed the amount paid by you (if any) for access to the Platform in the twelve (12) months preceding the claim.

9. Termination

PriviSync reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for any breach of these Terms or for any operational reason. You may request termination of your account by contacting contact@privisync.com. Upon termination, your right to use the Platform ceases immediately.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in the applicable jurisdiction. For EU users, GDPR-specific disputes shall be referred to the relevant supervisory authority.

11. Changes to These Terms

PriviSync may revise these Terms from time to time. Material changes will be communicated to authenticated users at least 14 days in advance. Continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes.
